What is Minerals Development Company Botswana (MDCB)?

MDCB is a mining and minerals investment holding company, wholly owned by the Government of Botswana. It is mandated to grow, optimise, and diversify Botswana’s mining and minerals portfolio while contributing to national socio-economic development.

What is MDCB’s purpose and vision?

MDCB’s purpose is to build a sustainable Botswana for future generations.
Our vision is to be a globally competitive mining and minerals investment company, contributing to Botswana’s financial security by 2028.

What services does MDCB offer?

MDCB is an investment company that holds mining and minerals assets for the Government of Botswana .

How does MDCB contribute to Botswana’s development?

MDCB contributes by investing in mining and mineral opportunities that generate financial returns for the country. While its strategic investments are based on commercial viability, by so doing this also leads to employment creation, local enterprise development, and supporting socio-economic initiatives. MDCB is also mandated to facilitate the development of mining and minerals sector, resulting in unlocking value chain oppourtunies as well as accelerating the development of ancillary services.

How is MDCB governed?

As a state-owned private company, MDCB operates under a sound rule-based environment wherein several governance frameworks provide structures to ensure accountability, fairness, and transparency. The most principal governing structure is the independent MDCB Board of Directors, and it is supported by a number of seasoned executive professionals.

What is MDCB’s approach to Corporate Social Responsibility (CSR)?

MDCB is committed to responsible corporate citizenship and values it as a social license to operate. We support initiatives that promote community development, education, health, and environmental stewardship, especially within communities in our area of influence. The upliftment of lives in marginalised and disadvantaged sections of the society remains a key priority in this regard. This includes, amongst others, women, children, youth and differently abled members of the society.

How does MDCB ensure transparency and accountability in its operations?

As an active shareholder, MDCB has adopted a governance framework which mandates its investees to be transparent and accountable in all their dealings. Through Key Performance Indicators (KPI's) and influencing the strategic direction of its assets, the Company drives robust and open stakeholder engagement, information disclosures on its operations, and continuous enhancement of ethical corporate behaviour. 

Does MDCB have a Sustainability or ESG (Environmental, Social, and Governance) Strategy?

Minerals Development Company Botswana (MDCB) has developed its Environmental, Social, and Governance (ESG) Strategy, which is at the approval stage. Aligned with our mission to "generate attractive returns by investing in mining and mineral opportunities," we are committed to being an active, innovative, and responsible shareholder.

Our ESG Strategy is designed to enhance the sustainability and resilience of our investment portfolio by focusing on expansion, optimisation, and, where necessary, strategic divestment. Through this approach, MDCB ensures that all decision-making processes are transparent and firmly rooted in robust environmental, social, and governance principles.

Is MDCB involved in exploration projects?

Exploration in Botswana is done by Botswana Geo-Sciences Institute (BGI) and Private Organisations. Botswana Geoscience Institute (BGI), was established to undertake research in the field of geosciences and provide specialised geoscientific services, be a custodian of geoscience information, promote the search for and exploration of any mineral in Botswana, and act as an advisory body in respect of geosciences and geohazards. 

Government has recently formed an exploration company - "Exploration Investment Company Botswana" (EICB) to drive mineral exploration and resource mobilisation in Botswana. It aims to facilitate funding access for private explorers, promote citizen participation, and enhance Botswana's mining investment appeal. 

How is MDCB supporting local empowerment and citizen economic participation?

MDCB actively supports citizen participation through local procurement initiatives, enterprise development support, skills transfer programs, and partnership with citizen-owned businesses.

Does MDCB own Minergy (PTY) LTD?

MDCB is not a shareholder of Minergy (PTY) LTD. It has a convertible debenture instrument in Minergy, MDCB has given Minergy debt that is convertible to equity. At this point, MDCB has not exercised this option.
